BACKGROUND:

Vivid Marketing Inc represents and warrants that:

- Vivid Marketing is equipped with the necessary skills, experience and qualifications needed to perform the services;

- Vivid Marketing shall perform their services in a diligent and professional system according to the standard of the industry;

- Vivid Marketing shall perform the services with the compliance of the client that Vivid Marketing has the full and unrestricted power, right and authority to enter into this agreement, execute the services, and fulfill the rights admitted in this document

Client represents and warrants that:

- Client has the full and unrestricted power, right and authority to enter into this agreement, execute the services, and fulfill the rights admitted in this document.

TERMS & CONDITIONS

1. Acceptance of Terms

By accessing, purchasing, or using any products, services, or lead-generation programs offered by Vivid Marketing Inc. (“Company,” “We,” “Us”), you (“Client,” “You”) agree to be bound by these Terms & Conditions.

You acknowledge that checking the acceptance box during checkout or onboarding constitutes your electronic signature and legally binding acceptance of this agreement.

If you do not agree to these Terms, do not use our services.

2. Nature of Services

Vivid Marketing Inc. provides digital marketing, paid advertising, and pay-per-lead generation services.

All leads generated, delivered, or transferred to you are considered digital goods and non-refundable.

We charge $75 per qualified lead, unless otherwise agreed to in writing.

3. No Money-Back Guarantee

Vivid Marketing Inc. does not offer refunds, reimbursements, or money-back guarantees under any circumstances, including but not limited to:

- Perceived lead quality

- Sales outcomes or conversion results

- Business performance

- Change of business direction or budget

- Buyer’s remorse

All payments made are final, non-cancellable, and non-refundable.

4. Lead Quality & Free Replacement Policy

To ensure fairness and transparency, Vivid Marketing Inc. offers free lead replacements ONLY under the following conditions:

A lead may qualify for replacement if:

1. The contact information is invalid (fake phone number, fake email), or

2. The lead explicitly denies submitting the inquiry, and

3. Lead is outside your service area (unless agreed otherwise)

4. Lead does not respond or answer calls.

5. Verification is provided within 48 hours of lead delivery.

We do not replace leads for reasons including:

- Lead is not ready to buy

- Lead is “shopping around”

- Lead changes their mind

- Lead hires a competitor

- Lead’s budget or need does not match your expectations

All replacement approvals are at the sole discretion of Vivid Marketing Inc.

5. No Chargebacks / Dispute Waiver

By purchasing or using our services, You expressly agree NOT to initiate any chargeback, payment dispute, or reversal through your bank, credit card company, or payment processor for any reason.

You acknowledge and agree that:

- All services are digital, customized, and fulfilled upon delivery of leads.

- Chargebacks are a breach of contract.

- Any attempted or successful chargeback will result in immediate suspension of services.

- You are liable for all fees, legal costs, and damages incurred by Vivid Marketing Inc. due to any attempted dispute.

Vivid Marketing Inc. reserves the right to pursue all available legal remedies, including collections and civil claims, to recover unpaid balances.

6. Billing & Payment Authorization

By using our services, You authorize Vivid Marketing Inc. to charge your designated payment method for:

- Lead fees ($75 per lead unless agreed otherwise)

- Any approved monthly retainers or subscription fees (only if applicable)

- Any approved add-ons or service upgrades (only if applicable)

All payments are due upon lead delivery unless a written agreement states otherwise.

7. No Guarantee of Sales or Results

You acknowledge that:

- We do NOT guarantee sales, revenue, appointments, booked jobs, or business outcomes.

- Marketing performance varies by industry, market conditions, competition, and your sales process.

- You are solely responsible for contacting, nurturing, and converting leads.

8. Client Responsibilities

Client agrees to:

- Respond to leads promptly

- Follow up using a proper sales process

- Maintain accurate business information

- Communicate with Vivid Marketing Inc. regarding service issues or lead replacement requests

- Not use leads for spam, misuse, or unlawful outreach

9. Intellectual Property

All marketing materials, ad creatives, landing pages, scripts, AI workflows, and systems created by Vivid Marketing Inc. remain owned exclusively by the Company unless explicitly transferred in writing.

Client receives limited permission to use material solely for the duration of service.

10. Limitation of Liability

To the maximum extent permitted by law, Vivid Marketing Inc. is NOT liable for:

- Lost revenue, profits, or opportunities

- Business interruptions

- Reputational damage

- Indirect, consequential, or punitive damages

Our total liability shall not exceed the amount paid by You in the previous 30 days.

11. Termination

We reserve the right to terminate services immediately if:

- You initiate a chargeback

- You misuse leads or marketing materials

- You fail to pay invoices

- You violate any part of this Agreement

No refunds are issued upon termination.

12. Governing Law

This Agreement is governed by the laws of the Province of British Columbia, Canada.

Any disputes shall be resolved exclusively through binding arbitration or court proceedings within Surrey, BC.

13. Entire Agreement

This document constitutes the entire agreement between the Client and Vivid Marketing Inc. and supersedes all prior proposals, communications, or understandings.
